Announcement of the Competition for the Position of Independent Member of the Supervisory Board

“Center for Space Monitoring and Geoinformation Technologies” LLC (hereinafter referred to as the Company) is assembling its Supervisory Board in accordance with applicable legislation. To include one independent member in the Supervisory Board (foreign citizens are eligible to participate), the Company is launching a selection process.

Candidates for the position of independent member must meet the following key requirements:

  • Hold a higher education degree (preference will be given to candidates with an academic degree);
  • Have at least 4 (four) years of work experience in corporate governance (with priority given to specialists in space technologies and IT);
  • Possess relevant knowledge in corporate governance, including—where required by law—a qualification certificate for corporate managers issued by the Scientific and Educational Center for Corporate Governance.

During the selection process, the following qualities are determined based on the interview:

  • Ability to work with financial organizations and business entities;
  • Sufficient expertise to independently utilize IT technologies;
  • Familiarity with space and IT technologies, and an understanding of the normative legal acts of the Republic of Uzbekistan related to the company’s operations, banking, financial, and tax systems (preference will be given to candidates with knowledge of foreign languages);
  • Creative thinking, initiative, responsibility in executing duties, and a professional approach to decision-making.

In accordance with Article 38¹ of the Law of the Republic of Uzbekistan “On Limited Liability Companies,” the following individuals are not eligible to serve as independent members of the Supervisory Board:

  • Those who have worked for the Company and/or its affiliated entities within the past three years;
  • Those who own (directly and/or through affiliated entities) five percent or more of the Company’s charter fund (or charter capital);
  • Those who have been involved in civil law relations with a major client and/or a major supplier of the Company and/or its affiliated entities;
  • Employees of an auditing organization that has provided auditing services to the Company and/or its affiliated entities in the past three years;
  • Individuals who have served on the Company’s Supervisory Board for six consecutive years;
  • Individuals who have any agreement with the Company and/or its affiliated entities, except for agreements solely related to the performance of Supervisory Board duties and functions;
  • Close or blood relatives (including parents, siblings, sons, daughters, spouses, as well as the husband’s (wife’s) parents, brothers, sisters and children) of members of the Company’s management or internal control bodies and/or its affiliated entities, or those who have served in these bodies during the past three years;
  • Employees of government authorities or state-owned enterprises;
  • Individuals who do not meet the requirements established by the Company’s charter or the documents approved by the Company’s General Meeting.
